1. Acceptance of Terms
By accessing or using UpSend's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, please do not use our services. These Terms constitute a legally binding agreement between you and UpSend.
UpSend is a product of CodeLab Enterprise Limited, a company registered in Uganda. By using our services, you agree to be bound by these Terms of Service and acknowledge that you have read, understood, and agree to be bound by them.
2. Description of Services
UpSend provides the following payment services:
- Money transfers to MTN Mobile Money and Airtel Money wallets
- Bill payment services (electricity, water, TV subscriptions, KCCA)
- Airtime and data bundle purchases
- School fee payments
- USSD and SMS-based transactions
- Merchant payments and QR code transactions
3. Account Registration and Security
To use our services, you must:
- Be at least 18 years of age
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password and account credentials secure
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. User Responsibilities
As a user of UpSend, you agree to:
- Use our services for legitimate personal or business purposes only
- Comply with all applicable laws and regulations in Uganda
- Not attempt to circumvent security measures or exploit vulnerabilities
- Not use automated tools to access our services without permission
- Not interfere with or disrupt our services or servers
- Not reverse engineer or attempt to extract source code
5. Fees and Charges
UpSend charges fees for certain transactions. These fees are:
- Clearly displayed before you complete any transaction
- Subject to change with 30 days prior notice
- Non-refundable except as required by law
- Listed in our Fee Schedule available on our website
6. Transaction Limits
To ensure security and compliance, the following limits may apply:
- Daily transaction limits based on verification level
- Monthly transaction limits for regulatory compliance
- Maximum single transaction amounts
- Number of transactions per day/hour
These limits are based on regulatory requirements and your account verification level.
7. Prohibited Activities
You may not use UpSend to:
- Engage in fraudulent, illegal, or unauthorized activities
- Money laundering, terrorist financing, or other financial crimes
- Violate any applicable laws, regulations, or sanctions
- Infringe on intellectual property rights of others
- Harass, abuse, or harm other users or our staff
- Transmit viruses, malware, or malicious code
- Use false or misleading information
- Create multiple accounts without authorization
8. Account Suspension and Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms of Service
- You engage in fraudulent or illegal activities
- Your account poses a security risk
- Required by law or regulatory authorities
- Your account remains inactive for 12 months
Upon termination, you will lose access to your account and all associated data.
9. Limitation of Liability
To the maximum extent permitted by law, UpSend shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to lost profits, data loss, or business interruption. Our total liability shall not exceed the amount of fees you paid to us in the six months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless UpSend, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
11. Dispute Resolution
Any disputes arising from these Terms of Service shall be resolved as follows:
- Negotiation: Parties will attempt to resolve disputes through good faith negotiation
- Mediation: If negotiation fails, parties will engage in mediation
- Arbitration: If mediation fails, disputes will be resolved through binding arbitration in accordance with the laws of Uganda
12. Intellectual Property
All content, trademarks, and intellectual property on the UpSend platform are owned by UpSend or its licensors. You may not use, reproduce, or distribute any content without our prior written consent.
13. Privacy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
14. Modifications to Terms
We may modify these Terms of Service at any time. Continued use of our services after modifications constitutes acceptance of the updated terms. Material changes will be notified via email or prominent notice on our platform.
15. Governing Law
These Terms of Service are governed by the laws of Uganda. Any legal action or proceeding relating to these terms shall be brought exclusively in the courts of Uganda.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and UpSend regarding our services.
